Recruitment Agency Terms and Conditions

These Terms and Conditions are made between Walter Everett (“the Agency”) and the hirer (“the Client”), including all its subsidiary and associated companies, firms and associations, seeking to engage a permanent candidate (“the Applicant”).

By requesting an introduction, conducting an interview (whether facilitated by the Agency or arranged directly by the Client), in person, by telephone or email, or by signing these Terms, the Client accepts these Terms and Conditions. An “introduction” includes an interview, or the acceptance of a CV or Applicant details by post, email, fax, or orally.

Confidentiality

All introductions and Applicant details are confidential and are provided to the Client on the understanding that the Client will keep this information confidential, and will not disclose it to any third party without the Agency's prior written consent.

Information we need before an introduction

The Agency will introduce or supply Applicants to the Client once it has received:

  • Details confirming the Client's identity, corporate status, and the nature of its business
  • The proposed start date and expected duration of the role
  • The position the Client wishes to fill
  • The Applicant's responsibilities
  • Work location, hours, and any potential health and safety risks, along with risk assessment documents
  • Details of the experience, training, qualifications, and any authorisations required of the Applicant
  • Information about expenses payable to or by the Applicant
  • Minimum remuneration, benefits, and payment intervals
  • The Applicant's notice period
  • Confirmation that the Client is aware of all applicable legal and/or professional requirements
  • Agreement that the Agency may disclose this information to its officers and employees, and authorise them to disclose it to introduced Applicants

Fees

Fees apply for engaging an Applicant resulting from an introduction, even if the engagement happens indirectly. These fees remain payable if the Applicant is engaged for any position, or re-applies, within one year of the introduction date. If the Client engages an employee of the Agency within six months, a fee becomes payable on the same basis, and no rebate applies in this case.

Introduction fees are due immediately on engagement, and invoices are subject to VAT. Late payment may incur interest and debt recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998. The fee must be paid in full within fourteen days of engagement.

A rebate may be available if the engagement ends within 12 weeks of the engagement date and the Client does not re-engage the Applicant within one year. Any claim to a rebate must be made within seven days of termination.

References and suitability

The Agency takes care in assessing an Applicant's suitability but does not itself carry out reference checks. The Client is responsible for checking references, including professional or academic qualifications, and for obtaining any permits or qualifications required by law. The Agency endeavours to supply suitable Applicants but does not warrant the accuracy of information provided, or an Applicant's ability - the Client remains responsible for assessing suitability and for engaging the Applicant, including checking references.

Liability

The Agency is not liable for losses, injuries, damage, costs, expenses, or delays, direct or indirect, arising from the introduction of an Applicant. The Agency's liability is limited to its commission for that introduction. The Client will indemnify the Agency against claims arising from losses, injuries, damages, costs, expenses, or delays incurred by an Applicant, and against claims from third parties relating to the introduction of an Applicant.

Client obligations

The Client must ensure it holds the necessary licences, permits, and consents for the work the Applicant is required to perform, and must verify that the Applicant has the required qualifications, licences, capability, integrity, and suitability, unless legally required otherwise. The Client is responsible for compliance with health and safety and other applicable legislation, for supervision, direction, and control of the Applicant, and for arranging any necessary insurance cover. The Client must also provide complete and accurate written details of the Applicant's total remuneration on request, and warrants the accuracy of those details.

The Agency does not act as the Client's agent in entering into contracts with Applicants, unless specifically authorised to do so in writing.

Variation

No variation of these Terms and Conditions is valid unless approved in writing by a director of the Agency.

Jurisdiction

These Terms and Conditions are governed by the laws of England and Wales, and the Client submits to the non-exclusive jurisdiction of the English and Welsh courts for any claim or matter arising from them.
